Terms of service.

1. Definitions and Formation of Contract

  • "Company" refers to Frank-VFX.

  • "Client" refers to the entity or individual engaging the Company.

  • "Materials" refers to any footage, audio, graphics, or data provided by the Client.

  • "Deliverables" refers to the final product created by the Company.

  • A contract is formed upon the Company’s written acceptance (email included) of a project proposal or purchase order.

2. Services and Scope

  • The Company will provide editing, grading, VFX as detailed in the agreed quote.

  • Any work requested outside the scope of the original quote will be subject to additional charges.

  • The Client must designate a representative to provide approval for the deliverables.

3. Client Materials and Warranties

  • The Client warrants that they own or have licensed all intellectual property rights in the Materials provided to the Company.

  • The Client warrants that the Materials do not violate any third-party rights, are not defamatory, and are not illegal.

  • The Client is responsible for insuring their own materials while in the possession of the Company.

4. Payment Terms

  • Deposit: A 50% non-refundable deposit is required to secure booking dates.

  • Invoicing: Invoices are payable within 28 days of the invoice date.

  • Late Payment: The Company reserves the right to charge interest on overdue invoices at a rate of 4% above the Bank of England base rate.

  • Rights Transfer: Final deliverables will only be released upon full payment of all invoices.

5. Revisions and Approval

  • The quote includes 4 rounds of revisions. Further revisions will be charged at an hourly rate.

  • Once a final version is approved in writing, subsequent changes will incur additional fees.

6. Limitation of Liability

  • The Company is not liable for any loss or corruption of data; it is the Client's responsibility to maintain backups of all Materials.

  • The Company is not liable for indirect or consequential losses, such as loss of profit or business interruption.

  • The Company's total liability shall not exceed the total fee paid by the client for the specific project.

7. Intellectual Property (IP)

  • Upon full payment, all IP rights in the Final Deliverables transfer to the Client.

  • The Company retains the rights to any tools, techniques, or software used during the creation of the project.

  • The Company reserves the right to use the final work for promotional purposes unless otherwise agreed in writing.

8. Cancellation and Postponement

  • If a project is cancelled within 4 days of the scheduled start, a cancellation fee of 100% of the project fee may apply.

  • Postponement within 4 days of the start date may incur a fee to cover rescheduled staff/studio time.

9. Data Storage

  • The Company will store project files for 90 days after final delivery. After this, files may be deleted unless a storage extension is purchased.

10. Governing Law

  • These terms are governed by the laws of England and Wales.
